Section 139 (1) company act 1965 stated that the secretary of a company must be a natural person of full age who has his principal or only place of residence in Malaysia.. He must be a member of a prescribed body or is licensed by the registrar of companies. In Malaysia, usually the directors will appointed external company secretarial firm to conduct the duties.

Section 167 of the Companies Act 1965 requires every company to keep accounting and other records at the registered office or other places that suit. The accounting of a company must be able to be accessed by any officer of the company. During the company financial year end, record will be used by auditors to audit the company’s



Section 169 of the Companies Act 1965 requires every company and its directors to present an audited report for the company’s annual general meeting (AGM). For this purpose, a company must appoint auditors for preparing the report and it should be lodged together with the annual reports to CCM at the end of each year.
